A-Game Business App – Business Management Platform

- Introduction and Acceptance
1.1 Agreement to Terms
Welcome to A-Game Business (“we,” “our,” “us,” or the “Company”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and A-Game Business Consulting (Pty) Ltd, a company registered in the Republic of South Africa.
By accessing or using the A-Game Business App platform, mobile application, website, or any related services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy.
If you do not agree to these Terms, you must not access or use the Platform.
1.2 Eligibility
To use the Platform, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Be authorised to bind any business entity on whose behalf you are using the Platform
- Not be prohibited from using the Platform under any applicable laws
1.3 Business Use
The Platform is designed for business use. By registering, you represent that you are using the Platform for commercial, business, or professional purposes, not for personal, family, or household use.
- Account Registration and Security
2.1 Account Creation
To access certain features, you must create an account by providing:
- A valid email address
- A secure password
- Accurate business information
You may also complete your profile with additional information such as your name, company name, contact details, and business sector.
2.2 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorised access or security breaches
- Ensuring all information provided remains accurate and up to date
2.3 Account Security
You agree to:
- Use a strong, unique password (minimum 12 characters recommended)
- Not share your account credentials with unauthorised individuals
- Log out from shared or public devices
- Enable additional security features when available
We reserve the right to suspend or terminate accounts that violate security best practices.
2.4 User Roles and Permissions
Accounts may have different permission levels:
- Super Admin: Full access to all modules, settings, and user management
- Admin: Access to all modules and team management
- Manager: Module access, team oversight, and reporting capabilities
- User: Standard access based on assigned role
- Viewer: Read-only access to permitted modules
Account owners are responsible for properly configuring user roles and access permissions.
- Subscription Plans and Pricing
3.1 Subscription Tiers
The Platform offers the following subscription tiers:

All prices are in South African Rand (ZAR) and are subject to change with notice.
3.2 Free Tier Limitations
The Free Forever tier includes:
- Access to CRM, Sales, and Finance modules only
- Up to 100 contacts
- Maximum 3 invoices per month
- Basic reporting
- Email support
3.3 Premium Tier Features
Premium tiers (Starter, Business, Scaleup, Enterprise) include progressively enhanced features such as:
- Unlimited contacts and invoices
- Additional modules (Projects, Team & HR, Inventory, Manufacturing, Marketing, etc.)
- AngelAI Business Assistant (Business tier and above)
- Workflow Automation (Scaleup tier and above)
- Custom integrations and white-label options (Enterprise)
3.4 14-Day Free Trial
Premium tiers include a one-time 14-day free trial per tier. Trial conditions:
- Each user may trial each tier only once
- Full tier features are available during the trial period
- No credit card is required to start a trial
- Automatic downgrade to Free tier if not converted to paid subscription
- AI credits consumed during trial are non-refundable
3.5 Price Changes
We reserve the right to modify pricing with 30 days’ written notice. Price changes will not affect current billing cycles for existing subscribers. Continued use after price changes constitutes acceptance.
- Payment Terms
4.1 Payment Processing
Payments are processed through PayStack, our third-party payment provider. We accept:
- Credit cards (Visa, Mastercard)
- Debit cards
- Electronic Funds Transfer (EFT)
4.2 Billing Cycles
- Monthly subscriptions: Billed on the same date each month
- Annual subscriptions: Billed on the same date each year (17% discount applied)
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless cancelled. You authorise us to charge your payment method for renewal fees.
4.4 Failed Payments
If a payment fails:
- We will attempt to process the payment up to three (3) times
- You will receive notification of the failed payment
- Access may be restricted until payment is successful
- Continued failure may result in account downgrade or suspension
4.5 Taxes
All prices are exclusive of VAT unless otherwise stated. South African customers will be charged 15% VAT in accordance with SARS regulations. You are responsible for any applicable taxes in your jurisdiction.
- Refund Policy Summary
Important: Due to the nature of our services, including AI-powered features that consume third-party resources (OpenAI credits), we operate a strict no-refund policy.
Key points:
- All sales are final
- Trial periods are provided for evaluation before commitment
- Subscription fees, including partial months, are non-refundable
- AI credits consumed cannot be recovered or refunded
- Cancellation stops future billing but does not entitle you to refunds

- Acceptable Use Policy
6.1 Permitted Use
You may use the Platform to:
- Manage your business operations (CRM, finance, projects, HR, inventory, etc.)
- Generate reports and analytics
- Communicate with team members
- Store and manage business data
- Utilise AI-powered features for legitimate business purposes
6.2 Prohibited Activities
You agree NOT to:
Illegal Activities
- Use the Platform for any unlawful purpose
- Violate any local, national, or international laws or regulations
- Engage in money laundering, fraud, or financial crimes
- Store or transmit illegal content
Security Violations
- Attempt to gain unauthorised access to any part of the Platform
- Circumvent security measures or access controls
- Introduce malware, viruses, or other harmful code
- Probe, scan, or test the vulnerability of the Platform
- Interfere with the proper functioning of the Platform
Abuse and Misuse
- Use the Platform in a manner that adversely affects other users
- Engage in activities that consume excessive resources
- Abuse AI credits through automated or excessive requests
- Create multiple accounts to exploit free tiers or trials
- Share account access with unauthorised parties
Data Violations
- Upload, store, or transmit content that infringes intellectual property rights
- Collect personal data of others without proper consent
- Use the Platform to send spam or unsolicited communications
- Violate POPIA, GDPR, or other data protection regulations
Commercial Misuse
- Resell, sublicense, or redistribute the Platform without authorisation
- Use the Platform to develop competing products
- Reverse engineer, decompile, or attempt to extract source code
- Remove or obscure proprietary notices or branding
6.3 Consequences of Violation
Violations may result in:
- Warning and request for corrective action
- Temporary suspension of account access
- Permanent termination of account
- Legal action and pursuit of damages
- Reporting to relevant authorities
- AI-Powered Features (AngelAI)
7.1 AngelAI Description
AngelAI is our artificial intelligence business assistant, available on Business tier and above. It provides:
- Business intelligence queries
- Report generation assistance
- Task and workflow automation
- Predictive analytics
- Multilingual support (English, Afrikaans, Zulu)
7.2 AI Credit Usage
AngelAI features consume AI credits, which are processed through third-party AI providers (including OpenAI). By using AngelAI, you acknowledge:
- Credits are consumed with each AI interaction
- Consumed credits cannot be recovered or refunded
- Credit usage varies based on query complexity
- Credits are tied to your subscription tier
7.3 AI Limitations
AngelAI is provided “as is” and:
- May not always produce accurate or complete results
- Should not be solely relied upon for critical business decisions
- Does not constitute professional advice (legal, financial, medical, etc.)
- May have occasional downtime or limitations
7.4 AI Content Ownership
- You retain ownership of data you input into AngelAI
- AI-generated outputs are provided for your use but may not be unique
- You are responsible for reviewing and verifying AI-generated content
- User Content
8.1 Your Content
“User Content” includes all data, information, documents, and materials you upload, create, or store on the Platform.
8.2 Ownership
You retain all ownership rights to your User Content. We do not claim ownership of your business data.
8.3 License Grant
By using the Platform, you grant us a limited, non-exclusive, worldwide license to:
- Store, process, and display your content to provide the Platform services
- Create backups and ensure data integrity
- Analyse aggregated, anonymised data to improve our services
This license terminates when you delete your content or close your account, except for:
- Aggregated, anonymised data that cannot identify you
- Content required for legal compliance or dispute resolution
8.4 Content Responsibilities
You are solely responsible for:
- The accuracy and legality of your User Content
- Ensuring you have rights to upload and use all content
- Compliance with applicable laws regarding data you store
- Backing up critical data (we provide backups but recommend additional copies)
8.5 Content Restrictions
You may not upload content that:
- Infringes intellectual property rights
- Contains personal data without proper consent
- Is defamatory, obscene, or harmful
- Violates any applicable laws
- Intellectual Property
9.1 Platform Ownership
The Platform, including its original content, features, functionality, design, code, trademarks, and logos, is owned by A-Game Business (Pty) Ltd and is protected by South African and international intellectual property laws.
9.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes, subject to these Terms.
9.3 Restrictions
You may not:
- Copy, modify, or create derivative works of the Platform
- Use our trademarks without written permission
- Remove or alter any proprietary notices
- Use our intellectual property for competitive purposes
9.4 Feedback
Any feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation to you. By submitting feedback, you grant us a perpetual, worldwide, royalty-free license to use, modify, and implement such feedback.
- Third-Party Services
10.1 Integrations
The Platform may integrate with third-party services, including:
- PayStack (payment processing)
- OpenAI (AI features)
- Email service providers
- Accounting software
- Other business tools
10.2 Third-Party Terms
Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services, and their availability is not guaranteed.
10.3 Third-Party Links
The Platform may contain links to third-party websites. We do not endorse or assume responsibility for third-party content or practices.
- Data Protection and Privacy
11.1 POPIA Compliance
We are committed to compliance with the Protection of Personal Information Act (POPIA) of South Africa. Our data handling practices are detailed in our Privacy Policy.
11.2 Data Processing
By using the Platform, you acknowledge and consent to:
- Collection and processing of personal and business data
- Storage of data on secure servers (which may be located outside South Africa with appropriate safeguards)
- Use of data to provide and improve our services
11.3 Your Privacy Rights
Under POPIA, you have rights including:
- Access to your personal information
- Correction of inaccurate data
- Deletion of personal information
- Objection to processing
- Data portability

11.4 Data Security
We implement reasonable technical and organisational measures to protect your data, including:
- Encryption in transit and at rest
- Access controls and authentication
- Regular security monitoring
- Incident response procedures
However, no system is completely secure, and we cannot guarantee absolute security.
- Warranties and Disclaimers
12.1 Service Availability
We strive for high availability but do not guarantee uninterrupted access. The Platform may be unavailable due to:
- Scheduled maintenance (with reasonable notice when possible)
- Emergency maintenance or updates
- Factors beyond our control
12.2 “As Is” Provision
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of results
- Error-free or uninterrupted operation
12.3 No Professional Advice
The Platform, including AngelAI, does not provide professional advice. Content and AI outputs should not be considered:
- Legal advice
- Financial or accounting advice
- Tax advice
- Medical or health advice
Consult qualified professionals for such matters.
12.4 Third-Party Disclaimer
We do not warrant or endorse any third-party products, services, or integrations.
- Limitation of Liability
13.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, A-GAME BUSINESS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Business interruption or downtime
- Cost of substitute services
- Any damages arising from your use or inability to use the Platform
13.2 Liability Cap
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
- The amount you paid us in the twelve (12) months preceding the claim, or
- One thousand South African Rand (R1,000)
13.3 Basis of the Bargain
The limitations in this section reflect the allocation of risk between you and us and are essential to our ability to offer the Platform at current pricing.
13.4 Jurisdictional Limitations
Some jurisdictions do not allow limitation of certain damages. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
- Indemnification
You agree to indemnify, defend, and hold harmless A-Game Business, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any third-party rights
- Your User Content
- Your business activities conducted through the Platform
- Any fraudulent, negligent, or illegal conduct
- Account Termination
15.1 Termination by You
You may cancel your subscription at any time through:
- Account Settings > Subscription > Cancel Subscription
- Contacting support at angel@agamebusiness.co.za
Upon cancellation:
- Access continues until the end of your current billing period
- Your account downgrades to Free tier (with limitations)
- No refunds for remaining subscription time
- You may export your data before downgrade
15.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay subscription fees
- Abuse AI credits or Platform resources
- Pose a security risk
We may also terminate accounts:
- For business reasons with 30 days’ notice
- Due to discontinuation of services
- As required by law
15.3 Effect of Termination
Upon termination:
- Your right to use the Platform ceases immediately
- We may delete your data after 30 days (or as required by law)
- Provisions that by nature should survive will continue (e.g., limitations of liability, indemnification)
15.4 Data Export
We recommend exporting your data before account termination. You may request data export through:
- In-app export features
- Contacting support for assistance
- Dispute Resolution
16.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles.
16.2 Informal Resolution
Before initiating formal proceedings, you agree to contact us at angel@agamebusiness.co.za to attempt informal resolution. We will endeavour to resolve disputes within 30 days.
16.3 Mediation
If informal resolution fails, disputes may be referred to mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA) or a mutually agreed mediator.
16.4 Jurisdiction
Any legal proceedings shall be brought exclusively in the courts of South Africa, and you consent to the jurisdiction of such courts.
16.5 Class Action Waiver
To the maximum extent permitted by law, you agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.
- General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and A-Game Business regarding the Platform, superseding any prior agreements.
17.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
17.4 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
17.5 Force Majeure
We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labour disputes, government actions, or internet/power outages.
17.6 Notices

17.7 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and A-Game Business.
- Changes to Terms
18.1 Modification Rights
We reserve the right to modify these Terms at any time. Changes will be effective when posted unless a later effective date is specified.
18.2 Notification
We will notify you of material changes through:
- Email to your registered address
- In-app notifications
- Prominent notice on the Platform
18.3 Acceptance of Changes
Continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree with changes, you must stop using the Platform and may cancel your subscription.

- You are authorised to agree to these Terms on behalf of any entity you represent
- You understand that violations may result in account termination and legal action
